Join us on March 28, 2020 for our Annual FRESPACE Meeting at the Environmental Learning Center! Refreshments at 8:30 am and the meeting will begin at 9:00 am. The Quarterly Board meeting will take place immediately after the conclusion of the annual meeting. We will also have a canoeing and boating trip later in the day. Details will be posted soon.
These are the proposed changes to the FRESPACE Bylaws that will be discussed at the annual meeting:
- Article I: Add “(also known as the Environmental Learning Center)” to reflect the current name of the Edisto ACE Basin NERR Interpretive Center. The original name needs to remain in this article because it is part of the official name of our organization in the documentation of our incorporation and 501(c)(3) status.
- Article IV. B: Change the percentage of membership required for a quorum at our annual meetings from 20% to 15%. This item is the driver for revising our bylaws. Now that we have around 500 members, many of whom live far away and will not be attending our annual meeting, it has become increasingly difficult to achieve quorum. A reduction of five points, while seemingly small, can make a large difference in our ability to attain a quorum.
- Article V. A: Like the first item, this change drops the reference to the old name for the ELC and aligns the bylaws with our current practice of having the Interpretive Ranger attend and participate in our board meetings.
- Article VII. D: Replace the verbiage related to using a CPA to perform an annual financial audit with the following, which reflects current practice: “At the quarterly board meeting prior to the end of the corporate year and the annual meeting, the Treasurer shall conduct a review of the FRESPACE financial records with the entire FRESPACE Board of Directors and report on this review at the annual meeting.”
